NorthStar Value Group provides AI-powered planning tools, interactive workbooks, and assessment applications designed to help business owners evaluate and improve the value, readiness, and transferability of their businesses. Our applications are educational and planning tools only.

IMPORTANT DISCLAIMER: The outputs, reports, scores, recommendations, and content generated by NorthStar Value Group applications are provided for educational and strategic planning purposes only. They do not constitute legal advice, financial advice, tax advice, accounting advice, investment advice, valuation advice, or merger and acquisition advice. You should not act on any information generated by our applications without first consulting with qualified professional advisors who are licensed and experienced in the relevant discipline.

Share your account credentials with others or allow others to access our applications through your account.

All content, features, functionality, and design elements of NorthStar Value Group applications — including but not limited to text, graphics, logos, icons, software, and the NorthStar Value Path™ framework — are owned by NorthStar Value Group, LLC and are protected by applicable intellectual property laws.

The reports and outputs generated by our applications based on your personal inputs are yours to use for your own business planning purposes. You may not reproduce, distribute, or commercially exploit the underlying frameworks, methodologies, or application content without our written permission.

When you enter information into our applications — including assessment answers, notes, and reflections — you retain ownership of that content. By entering content into our applications, you grant NorthStar Value Group a limited license to store, process, and use that content solely for the purpose of providing you with our services, including generating your reports and saving your progress.

We do not use your personal assessment data to train AI models or for advertising purposes.

Our applications integrate with third-party services including Supabase (database and authentication), OpenAI (AI processing), and GoHighLevel (CRM). Your use of these integrations is also subject to the terms and privacy policies of those third-party providers. NorthStar Value Group is not responsible for the practices of third-party service providers.

OUR APPLICATIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, NORTHSTAR VALUE GROUP DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR APPLICATIONS WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION GENERATED BY OUR APPLICATIONS.

TO THE FULLEST EXTENT PERMITTED BY LAW, NORTHSTAR VALUE GROUP, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR APPLICATIONS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR APPLICATIONS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless NorthStar Value Group, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising out of or related to your use of our applications, your violation of these Terms of Use, or your violation of any rights of another person or entity.

These Terms of Use are governed by the laws of the State of South Carolina, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in South Carolina, and you consent to the personal jurisdiction of those courts.

We may update these Terms of Use from time to time. When we do, we will update the "Last Updated" date at the top of this page. Your continued use of our applications after any changes constitutes your acceptance of the updated terms. We encourage you to review these Terms periodically.
